Role Summary:<\/strong><\/h3>\n\n\n\n
We are seeking a highly motivated and detail-oriented Company Secretary<\/strong> to join our legal and compliance team. The CS will be responsible for overseeing corporate governance, ensuring regulatory compliance, and advising the board on strategic and legal matters. The ideal candidate will have a strong background in company law, securities law, and board management.<\/p>\n\n\n\n

Key Responsibilities:<\/strong><\/h3>\n\n\n\n
\u2705 Governance & Compliance:<\/em><\/h4>\n\n\n\n
\n
Advise the Board on good governance practices and ensure compliance with corporate, securities, and business laws.<\/li>\n\n\n\n
Handle company formation, incorporation, and all related statutory requirements.<\/li>\n\n\n\n
Maintain statutory registers, records, and ensure timely filings with ROC, MCA, and regulatory authorities.<\/li>\n\n\n\n
Organize and manage board meetings, AGMs, and committee meetings, including drafting minutes and follow-ups.<\/li>\n\n\n\n
Execute filings of MOU, DSC, sale deeds, and manage documentation related to plant and office maps.<\/li>\n<\/ul>\n\n\n\n
\u2705 Regulatory & Legal Oversight:<\/em><\/h4>\n\n\n\n
\n
Represent the company before regulatory authorities such as the Company Law Board, SEBI, BSE, NSE, and RoC.<\/li>\n\n\n\n
Handle Secretarial and Compliance Audits, sign Annual Returns and provide necessary certifications.<\/li>\n\n\n\n
Ensure compliance with applicable laws including SEBI, Consumer Protection Act, Environment, Labor, M&A, JVs, and Subsidiaries.<\/li>\n\n\n\n
Oversee securities-related matters including share transfer, transmission, and custodianship of documents.<\/li>\n<\/ul>\n\n\n\n
\u2705 Advisory & Strategic Involvement:<\/em><\/h4>\n\n\n\n
\n
Provide legal advice on arbitration, commercial dispute resolution, negotiations, and conciliation.<\/li>\n\n\n\n
Support listing, public issue-related compliance, and securities management if applicable.<\/li>\n\n\n\n
Track market movement and maintain regular updates related to the company\u2019s shares.<\/li>\n<\/ul>\n\n\n\n
\u2705 Banking & Internal Coordination:<\/em><\/h4>\n\n\n\n
\n
Assist in opening\/closing bank accounts, managing balances, and coordinating with finance teams.<\/li>\n\n\n\n
Manage compliance for Mask Investment Limited in the absence of the primary CS.<\/li>\n<\/ul>\n\n\n\n
\n\n\n\n
Candidate Profile:<\/strong><\/h3>\n\n\n\n
\n
Qualified Company Secretary (CS)<\/strong> with registration under ICSI.<\/li>\n\n\n\n
2\u20135 years of experience in handling company secretarial work in a mid-to-large scale firm preferred.<\/li>\n\n\n\n
Strong understanding of Companies Act, SEBI, ROC processes, and secretarial standards.<\/li>\n\n\n\n
Excellent communication, documentation, and legal drafting skills.<\/li>\n\n\n\n
Proficient in MS Office, MCA portal, and e-filing tools.<\/li>\n\n\n\n
Organized, proactive, and able to handle multiple regulatory tasks with strict timelines.<\/li>\n<\/ul>\n\n\n\n
